This Terms and Conditions document (“Agreement”) constitutes a legally binding agreement between you (“User,” “Customer,” or “Vendor”) and HT Business Group, the owner and operator of the e-commerce platform “Shopnaka” (“Shopnaka,” “we,” “us,” or “our”) accessible at https://shopnaka.com. By accessing, browsing, registering on, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement and all applicable laws and regulations.

1. Definitions

• Platform: The website and associated services provided through https://shopnaka.com.
• User: Any individual or entity that accesses the Platform for the purposes of browsing, purchasing, or selling products.
• Vendor: Any individual or business entity registered to list and sell products on the Platform.
• HT Business Group: The parent entity that owns and manages Shopnaka, based in Ahmedabad, Gujarat, India.

2. Legal Capacity and Account Registration

• Users must register an account to complete any purchase. You represent and warrant that the information provided is accurate, complete, and current.
• Users are solely responsible for maintaining the confidentiality of their credentials. Any activity conducted using your account shall be deemed to have been conducted by you.
• Shopnaka reserves the right to suspend or terminate any account at our sole discretion for any suspected misuse or fraudulent activity.

3. Nature of the Platform and Disclaimer on Vendor Activities

• Shopnaka is a multivendor e-commerce marketplace facilitating the sale of physical and digital products by independent vendors.
• HT Business Group acts only as a platform provider and is not a party to the transaction between buyers and vendors.
• We do not assume responsibility for the legality, quality, safety, or authenticity of the products sold by vendors.

4. Product Listings and Accuracy

• Product listings, descriptions, prices, availability, return terms, and shipping information are submitted by vendors and are the responsibility of the respective vendors.
• Although we strive for accuracy, we do not guarantee the correctness of any information and disclaim liability for errors or omissions in content.

5. Payments and Financial Transactions

• All payments on Shopnaka are processed through Stripe. We do not store or process any payment information directly.
• You authorize Stripe and Shopnaka to charge the full order amount, including taxes, shipping, and fees, to the payment method provided.
• In case of disputes or failed transactions, please contact biz@shopnaka.com within 48 hours of the transaction.

6. Taxes

• All prices displayed are inclusive or exclusive of applicable Indian Goods and Services Tax (GST), as indicated.
• Vendors are responsible for GST registration and compliance under Indian law.
• International buyers are responsible for any customs duties, VAT, or other local taxes as per their jurisdiction.

7. Shipping and Delivery

• Shopnaka offers international shipping, subject to applicable restrictions and regulations.
• Vendors are solely responsible for shipping and fulfilling orders in a timely manner.
• Estimated delivery times are approximate and not guaranteed. Shopnaka is not liable for delays due to customs, natural events, or courier service errors.

8. Return and Refund Policy

• Return and refund conditions are product-specific and clearly stated on each product page.
• Certain items, such as digital downloads or perishable goods, may be non-returnable. Such conditions are binding once a purchase is made.
• Disputes related to returns must be raised within the timeframe specified on the product page, failing which the transaction will be deemed final.
• In case of unresolved issues, users may escalate to legal@shopnaka.com for arbitration or legal redress.

9. Intellectual Property Rights

• All content on Shopnaka, including but not limited to, text, logos, images, code, and trademarks, is the exclusive intellectual property of HT Business Group or its licensors.
• Unauthorized use, copying, or reproduction of any content is strictly prohibited and constitutes a violation of intellectual property laws.

10. Limitation of Liability

• Shopnaka, HT Business Group, its directors, employees, affiliates, and partners shall not be liable for any direct, indirect, incidental, punitive, or consequential damages arising out of or relating to the use of the Platform.
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Prohibited Conduct

Users agree not to:

• Use the Platform for any unlawful purpose;
• Infringe upon the intellectual property rights of others;
• Transmit any viruses, malware, or harmful code;
• Exploit or harm minors;
• Misrepresent themselves or provide false information;
• Attempt unauthorized access to the Platform or user data.

12. Termination and Suspension

• We reserve the right to terminate or suspend any account without prior notice for violating these Terms.
• Upon termination, the user’s right to use the Platform will cease immediately, and any pending obligations must be settled.

13. Dispute Resolution and Jurisdiction

• In the event of any dispute, parties agree to first attempt informal resolution by contacting legal@shopnaka.com
• If unresolved, the dispute shall be submitted to binding arbitration under Indian Arbitration and Conciliation Act, 1996.
• This Agreement shall be governed by the laws of India, and the courts of Ahmedabad, Gujarat shall have exclusive jurisdiction.

14. Amendments to Terms

• We reserve the right to amend these Terms & Conditions at any time. Users will be notified via email or on-site notification.
• Continued use of the Platform post-modification shall constitute acceptance of the revised terms.

16. Entire Agreement
